1. Acceptance of Terms

By engaging Webdazy ("Company") for any services, you ("Client") agree to these Terms of Service. These terms constitute a legally binding agreement. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

2. Services

Webdazy provides digital services including, but not limited to, web design, web development, digital marketing, SEO, social media design, and web hosting. The specific scope of services for each project will be outlined in a separate project proposal or Statement of Work (SOW).

Project Scope Changes

Any changes to the agreed scope of work must be documented in a written change request and may result in additional charges and/or timeline adjustments.

3. Payment Terms

Deposit

A 50% advance payment is required before work commences on any project.

Final Payment

The remaining 50% is due upon project completion, before final files or launch access are provided.

Late Payments

Invoices unpaid after 7 days of the due date may incur a late fee of 2% per week.

Refunds

Deposits are non-refundable once work has commenced. Refunds for ongoing services are prorated based on work completed.

Retainer Plans

Monthly retainer services are billed in advance. Cancellation requires 30 days written notice.

4. Intellectual Property

Upon receipt of full payment, the Client receives full ownership of all custom design and code assets created for their project. Webdazy retains the right to display the completed work in its portfolio and marketing materials unless otherwise agreed in writing.

Third-party assets (stock images, fonts, plugins) are subject to their respective licences. Webdazy is not responsible for ongoing licence fees for third-party assets after project handoff.

5. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the engagement. This includes business strategies, customer data, financial information, and any other information marked as confidential. This obligation survives termination of the agreement.

6. Warranties & Representations

Webdazy warrants that services will be performed in a professional and workmanlike manner. We provide a 30-day bug-fix warranty on all development projects after launch.

Disclaimer: Webdazy does not warrant that websites will be free from all bugs or that server access will be uninterrupted. We do not guarantee specific search engine rankings or specific advertising results, as these depend on factors outside our control.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Webdazy shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim arising from or related to these terms shall not exceed the total fees paid by the Client for the relevant service in the three months preceding the claim.

8. Termination

Either party may terminate a project with 14 days written notice. Upon termination:

The Client is liable for payment for all work completed up to the termination date.
Webdazy will deliver all completed work files within 5 business days.
Non-refundable deposits will not be returned.
Both parties are released from future obligations under the terminated project.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of India.
